WEBSITE TERMS AND CONDITIONS OF USE

By accessing or using www.piachoan.com, or any related sites, portals, or course platforms operated by us (collectively, the “Website”), you agree to be bound by these Terms and Conditions (“Terms”).

If you do not agree with these Terms, you must immediately stop using the Website and our Services.

1. PRIVACY

1.1. Our Privacy Policy forms part of these Terms and is available on the Website.
1.2. By using the Website or our Services, you consent to the collection, use, and disclosure of your personal information in accordance with our Privacy Policy.

1.3 We will never sell your personal details.

2. DEFINITIONS

In these Terms, unless the context requires otherwise:

  • “Client”, “You”, “Your” means the individual or entity accessing the Website, purchasing, enrolling in, or using any of our Programs, Products, or Services.

  • “Company” means BreakFree Enterprises Pty Ltd, its directors, employees, contractors, successors, and assigns.

  • “Programs” / “Courses” / “Webinars” / “Events” / “Retreats” “Memberships” mean any online or in-person offerings, including but not limited to workshops, live or recorded sessions, coaching, masterclasses, programs, or memberships delivered by or on behalf of the Company.

  • “Services” means all services provided by the Company through the Website or any associated online platforms.

  • “Materials” / “Content” means all written, audio, visual, and digital content supplied by us, including videos, workbooks, handouts, PDFs, downloads, live or recorded teachings, graphics, text, frameworks, and other resources.

  • “Platform” includes our Website and any learning or membership platform we use (e.g. GoHighLevelor similar).

3. ACCEPTANCE OF TERMS

3.1. By visiting the Website, creating an account, or purchasing any Program, Product, or Service, you acknowledge that you have read, understood, and agree to be bound by these Terms.
3.2. If you are entering into these Terms on behalf of another person or entity, you warrant you have authority to bind that person or entity.
3.3. We may update or amend these Terms at any time. Any changes will take effect from the date they are posted on the Website. Your continued use of the Website or Services after any changes constitutes acceptance of the updated Terms.

4. ELIGIBILITY

4.1. Our Website and Services are intended for individuals 18 years and over.
4.2. By using the Website or purchasing any Program, Product, or Service, you represent that you are at least 18 years old.
4.3. If you allow a minor to access the Website or our Materials, you are responsible for their use and for ensuring that such use is appropriate and supervised.

5. REGISTRATION & ACCOUNTS

5.1. To access certain Programs, Products, Memberships, Events, Retreats or Services, you may be required to create an account and provide accurate, current, and complete information.
5.2. You agree to:

  • Keep your login details confidential and secure;

  • Not share your username, password, or access details with any other person (even in the same household); and

  • Notify us immediately if you suspect unauthorised use of your account.

5.3. You are responsible for all activities that occur under your account. We are not liable for any loss or damage arising from your failure to maintain the confidentiality of your login details.
5.4. We may suspend or terminate your account at our discretion if we reasonably believe you have breached these Terms.

6. WEBSITE AND SERVICES

6.1. The Website provides information and access to Programs, Products, Events, Memberships, and related Services.
6.2. We reserve the right, at any time and without notice, to:

  • Modify, suspend, or discontinue any part of the Website or Services;

  • Change pricing, content, or features;

  • Restrict access to some or all parts of the Website or Services.

6.3. We do not guarantee continuous, uninterrupted, or error-free access to the Website or Platforms.

7. PRICING, CURRENCY & TAXES

7.1. As a global business Unless stated otherwise, all prices are in USD) and inclusive of GST where applicable.
7.2. We make reasonable efforts to ensure pricing information is accurate and current, but we may correct errors at any time.
7.3. Prices are subject to change without notice; however, confirmed orders will be honoured at the price in effect at the time of purchase.
7.4. Your bank or card provider may charge additional fees or conversion costs; these are your responsibility.

8. ORDERS, PAYMENT & ACCESS

8.1. When you purchase a Program, Product, or Service, you agree to pay the full price as displayed at checkout, including any applicable fees, taxes, and charges.
8.2. Payment is processed via third-party payment gateways (e.g. Stripe, PayPal, GHLPayments). We do not store your full credit card details.
8.3. You must provide accurate billing information and ensure that you have the authority to use the selected payment method.
8.4. Access to Programs, Courses, or Membership content is granted:

  • Upon successful payment; or

  • As otherwise stated in the specific offer, confirmation email, or product description.

8.5. For digital Programs and Courses, you are usually granted life-time access, unless  otherwise specified in the product description. Live coaching or group calls are only available during the stated program period and are not ongoing beyond the program end date unless expressly stated.

9. REFUNDS, CANCELLATIONS & TRANSFERS

9.1. Events, Webinars & Live Workshops (Date-Specific)

Unless otherwise specified for a particular event:

  • Refunds requested at least 3 weeks (21 days) before the event date:

    • Eligible for a refund of the fees paid, less a $50 USD administration fee.

  • Refunds requested less than 3 weeks (21 days) before the event date:

    • Eligible for a 50% refund of the fees paid.

  • No-show / Failure to attend without prior notice:

    • No refund will be provided.

9.2. Transfers to Another Person or Date

9.2.1. You may request in writing to transfer your booking to another person or to another date (where available).

  • If requested 21 days or more before the event date, we may approve the transfer at no additional fee.

  • If requested less than 21 days before the event date (20 days or fewer), we may approve the transfer subject to a $50 USD administration fee.

9.2.2. Transfers are subject to availability and are at our sole discretion.
9.2.3. You may not request more than one transfer per booking within a 12-month period.
9.2.4. If you (or your transferee) do not attend any scheduled date within 12 months of the original purchase, your entitlement to attend is forfeited and no refund will be provided.

9.3. Online Programs, Digital Products & Memberships

9.3.1. Due to the digital nature of online Programs, Courses, and downloadable resources, refunds are generally not provided once:

  • You have been granted access to the digital content; or

  • You have logged into the platform or downloaded program materials.

9.3.2. Memberships (if applicable) are generally billed on a recurring basis (e.g. monthly or annually) as stated at the point of purchase.

  • You may cancel future billing at any time in accordance with the cancellation instructions provided.

  • Cancelling a membership stops future payments; it does not automatically entitle you to a refund of past payments already processed.

9.3.3. In exceptional circumstances, we may, at our sole discretion, offer a credit, transfer, or partial refund. This is assessed on a case-by-case basis and does not create an ongoing obligation to do so.

10. DELIVERY OF PHYSICAL PRODUCTS

10.1. If we supply physical products (e.g. books, cards, or merchandise), shipping costs and options will be disclosed at checkout.
10.2. Risk in the goods passes to you upon dispatch.
10.3. If an item arrives faulty or damaged, please contact us within a reasonable time with proof of purchase and photographs of the damage.
10.4. We may offer replacement, repair, or refund in accordance with your rights under the Australian Consumer Law.

11. RETURNS & EXCHANGES FOR MERCHANDISE

11.1. Faulty or damaged merchandise will be repaired, replaced, or refunded in accordance with Australian Consumer Law.
11.2. For change-of-mind returns (where accepted), products must be unused, in original condition, and returned at your cost within the time frame we specify (usually 10 days). Refunds for change-of-mind, where offered, may exclude shipping and handling costs.
11.3. Digital products and accessed online Programs are not eligible for change-of-mind refunds once access has been granted.

12. INTELLECTUAL PROPERTY

12.1. All Content and Materials provided by us, including but not limited to:

  • Frameworks, models, methods, quizzes, puppets, props and processes;

  • Videos, audio, charts, slides, workbooks, PDFs, handouts, and written materials;

  • Logos, graphics, branding, design, layouts, and text

are protected by copyright, trademark, and other intellectual property laws and remain the exclusive property of BreakFree Enterprises Pty Ltd or its licensors.

12.2. When you purchase a Program, Product, Event, Retreat or Membership, you are granted a personal, non-transferable, non-exclusive, revocable licence to use the Materials for your own personal, non-commercial use only.

12.3. You must not, without our prior written consent:

  • Copy, reproduce, distribute, republish, upload, post, display, or transmit any part of the Materials;

  • Sell, licence, sub-licence, or commercially exploit the Materials;

  • Share your login details or copies of the Materials with others;

  • Use the Materials to train others, create competing programs, or present them as your own work.

12.4. Any unauthorised use of our intellectual property may result in legal action.

13. USER CONDUCT

13.1. You agree not to use the Website or Services to:

  • Engage in unlawful, harmful, or abusive behaviour;

  • Harass, threaten, or otherwise harm other users or facilitators;

  • Upload or transmit viruses, malware, or harmful code;

  • Attempt to gain unauthorised access to any part of the Website or Platform;

  • Infringe the intellectual property or privacy rights of others.

13.2. We reserve the right to remove any user, comment, or content which, in our reasonable opinion, breaches these Terms or creates risk or harm to others.

14. HEALTH, WELLBEING & RESULTS DISCLAIMER

14.1. Our Programs, Products, and Services are educational and informational in nature. They are designed to support ‘personal development’, more self-awareness, emotional regulation, communication, and wellbeing.
14.2. They are not a substitute for:

  • Medical advice, diagnosis, or treatment;

  • Psychological, psychiatric, or other mental health treatment;

  • Professional legal, financial, or other specialist advice.

14.3. We do not provide medical, psychological, or individual dietary prescriptions. You are responsible for seeking appropriate professional advice from qualified healthcare or mental health practitioners regarding any condition or concern.

14.4. Any references to healing, transformation, pain reduction, improved wellbeing, or lifestyle change are descriptive of possible outcomes only and are not guarantees. Individual results vary depending on many factors including personal history, mental capacity, health, effort, and external circumstances.

14.5. If you are pregnant, have a medical or psychiatric condition, are taking medication, or have a history of trauma, addiction, or eating disorders, you should consult your treating practitioner before participating in any Program, especially those involving nervous system work, relaxation, or food-related content.

15. THIRD-PARTY SERVICES & SOCIAL MEDIA

15.1. The Website and Programs may contain links to third-party websites, platforms, or services (including payment processors, course platforms, and social media).
15.2. We are not responsible for the content, privacy practices, or terms of use of any third-party websites or services. Use of such sites is at your own risk.
15.3. Where Programs or interactions occur via social media (e.g. Facebook, Instagram, TikTok, YouTube), you acknowledge those interactions are also subject to the terms and policies of those platforms.

16. AUSTRALIAN CONSUMER LAW

16.1. Nothing in these Terms excludes, restricts, or modifies any rights or remedies you may have under the Competition and Consumer Act 2010 (Cth), including the Australian Consumer Law, that cannot be excluded, restricted, or modified by agreement.
16.2. Where our liability cannot be excluded but may be limited, our liability is limited to:

  • Re-supplying the Services or Products; or

  • Paying the cost of having the Services or Products supplied again.

17. DISCLAIMERS

17.1. To the fullest extent permitted by law, we make no warranties or representations, express or implied, regarding:

  • The completeness, accuracy, or reliability of the Website or Materials;

  • The suitability of our Programs or Products for your individual needs;

  • That the Website or Platform will be uninterrupted, secure, or free of errors or viruses.

17.2. You use the Website, Programs, and Services at your own risk.

18. LIMITATION OF LIABILITY

18.1. To the maximum extent permitted by law, we are not liable for any:

  • Indirect, incidental, special, or consequential loss;

  • Loss of income, profit, business, or opportunity;

  • Emotional distress (physically or mentally), personal injury, or harm arising from your use or misuse of the Programs, Products, or Website.

18.2. Where our liability cannot be excluded, it is limited to the amount paid by you for the relevant Program, Product, or Service that gave rise to the claim.

19. INDEMNITY

19.1. You agree to indemnify and hold harmless BreakFree Enterprises Pty Ltd, its directors, employees, contractors, and agents from and against any claims, actions, damages, losses, liabilities, costs, or expenses (including legal fees) arising out of or in connection with:

  • Your breach of these Terms;

  • Your use or misuse of the Website, Programs, or Materials;

  • Any reliance by you or a third party on the information or Materials we provide.

20. FORCE MAJEURE

20.1. We are not liable for any delay or failure in performance arising from circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, strikes, industrial action, pandemic, government restrictions, or interruption of utilities or services (“Force Majeure Event”).
20.2. If a Force Majeure Event continues for more than 30 days, we may terminate or modify affected Programs or Services without liability, subject to any non-excludable rights you may have at law.

21. TERMINATION & SUSPENSION

21.1. We may suspend or terminate your access to the Website, your account, or any Program at our sole discretion if you:

  • Breach these Terms;

  • Engage in behaviour that is harmful, abusive, or disruptive to us or other participants; or

  • Use the Materials in a way that infringes our intellectual property rights.

21.2. Upon termination, your right to access the affected Services or Materials ceases immediately, without limiting any other rights or remedies we may have.

22. GOVERNING LAW & JURISDICTION

22.1. These Terms are governed by the laws of Queensland, Australia.
22.2. Each party submits to the non-exclusive jurisdiction of the courts of Queensland and the Commonwealth of Australia.

23. SEVERABILITY

23.1. If any provision of these Terms is held to be invalid, unlawful, or unenforceable, that provision will be severed and the remaining provisions will continue in full force and effect.
